Purpose of the Role:
Ensure the legality of commercial transactions, advising the company on its legal rights and duties to abide by the laws of the geographies in which it operates and protect the company against any legal risks.
Minimum Qualifications and Experience Required:
B.Com Law / LLB (French Law degree).
Minimum 5 to 10 years’ experience with a reputable corporate or law firm.
Fluent English and French speaking and the ability to draft documents in French (non-negotiable).
Preference will be given to candidate having experience with reputable law firms. And to someone who has had experience of French Law.
Understanding of Litigation processes.
Company Secretarial experience.
Experience of drafting and negotiating commercial documents.
Legal Process Adherence:
Ensure that the Legal department processes are followed including the process for review of agreements.
Timely co-ordination and responses in M&A transactions.
Develop and follow best practices in the Legal department.
Drafting of Agreements:
Timely drafting, reviewing and negotiating agreements and timely and accurate response to legal queries by the other departments.
Review and negotiate commercial documents including shareholders’ agreement, share subscription agreements, joint venture agreements, distribution agreements, employment agreements, contracts, memorandum of understandings for various purposes, loan agreements, power of attorneys and confidentiality agreements.
Litigation Support and M&A Support:
Assist the Legal Head in some key international disputes to which the company is party to.
Work with international law firms on a day to day basis on several matters pertaining to the company.
Assist the Legal Head in all activities that the company is involved in across the region.
Expected to work with a reputable national and international law firm on such deals under the guidance of the Legal head.
