Minimum requirements:Bachelor of Laws (LLB), Admitted Legal Practitioner, Postgraduate qualification in Compliance (advantageous).Knowledge and understanding of the Companies Act, 2008, King IV and JSE Listings Requirements.At least 3-4 years post-qualifying experience in a company secretarial and compliance role.Strong analytical and legal drafting skillsProactive and good interpersonal skillsExcellent planning and organisational skillsAttention to detailAble to work independently and self-motivatedAble to work under pressureFlexible and adaptable.Additional requirements: Corporate Governance Duties:Provide company secretarial duties while providing overall administrative support to the Group Company Secretary with the administration, regulatory compliance, meeting management, corporate governance, and related services to the Group;Assist with drafting and/or reviewing ordinary and special resolutions, minutes and maintaining a resolution;Assist with the preparation for the board and committee meetings including collating documents for the meeting packs from the relevant role players;Assist with Annual Return filings and other CIPC related matters; andProvide overall assistance to the Group Company Secretary.Compliance Duties:To assist with the responsibility for the design and implementation of systems and controls to ensure compliance with all relevant legislation and regulations impacting the Group;Develop, document, update as well as maintain group-wide compliance, regulatory protocols and policies.
Review of all critical business policies from a regulatory compliance perspective and make recommendations for improvement;Ability to assist with the implementation, compliance, and monitoring relevant legislation;Communicate effectively and efficiently with relevant internal parties and departments to support a seamless integration of compliance management by encouraging and facilitating cooperation;Draft and review contracts in line with applicable company requirements and legislation;Conduct research, prepare and present compliance reports and maintain awareness of any laws and regulations relevant to the Group.
